Terms of service

1. Definitions

• Account – The self-service account created to access Kepixel services.
• Agent – Any individual or entity authorized to use the Services on your behalf.
• Confidential Information – Any non-public information marked confidential or reasonably understood to be confidential.
• Customer Data – All data submitted or processed by or on behalf of the Customer.
• Dashboard – The control panel interface to manage and monitor service usage.
• Embed Code – Code provided by Kepixel to be installed on your digital properties.
• Malicious Code – Any code designed to harm or interfere with system functionality.
• Order Form – The document outlining services, terms, pricing, and subscription period.
• Property – Your website, app, or platform on which Kepixel services are integrated.
• Services – The products and features you’ve subscribed to as detailed in your Order Form.
• Term – The duration of your subscription as outlined in the Order Form.

2. Scope of Services

Kepixel provides a software platform that includes a Dashboard, real-time analytics, and data activation tools. Access is granted via Embed Code, which must be installed on your Properties. We may update this code periodically. Continued use requires updating to the latest version.

3. License and Use

Subject to this Agreement, Kepixel grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business operations.

You agree not to:

• Reverse engineer or duplicate the Embed Code;
• Use the Services to transmit unlawful or malicious content;
• Access Services in excess of contractual limits;
• Resell, sublicense, or lease the Services to third parties.

4. Subscription, Billing & Renewals

• Subscriptions begin on the Effective Date and renew automatically unless cancelled at least 30 days before renewal.
• You may upgrade or downgrade services via the Dashboard; however, fees are non-refundable.
• Payments are due as per the Order Form. Late payments may incur interest of 1.5% per month or the maximum legal rate.
• Taxes, if applicable, are your responsibility.

5. Customer Responsibilities

You agree to:

• Provide accurate data and credentials.
• Ensure all necessary consents for data processing are obtained.
• Maintain security over account access.
• Ensure compliance with all applicable data protection and privacy laws.

6. Intellectual Property

Kepixel retains all ownership rights to its software, technology, algorithms, and documentation. Work product created specifically for you will be marked as such.

You grant Kepixel the right to access relevant systems solely for support and debugging during your active subscription.

7. Confidentiality

Both parties agree to:

• Treat all disclosed Confidential Information with strict confidentiality;
• Use it only to fulfill their obligations under this Agreement;
• Not disclose it to third parties without consent, unless required by law.

8. Termination and Suspension

This Agreement:

• Will remain in effect through the Term and any auto-renewals.
• May be terminated by either party with 30 days’ notice before renewal.
• May be terminated early by either party in case of material breach not cured within 30 days.
• Will lead to account and data deletion between 45 to 90 days after termination.
• May result in service suspension without prior notice in case of fraud, security risk, or legal requirements.

9. Warranties and Disclaimers

We commit to providing the Services in a professional manner. However, we do not guarantee that:

• The Services will be uninterrupted or error-free;
• They will be compatible with all systems or environments.

All services are provided “as is” without warranties of any kind.

10. Limitation of Liability

To the fullest extent permitted by law:

• Kepixel will not be liable for indirect, incidental, or consequential damages;
• Total liability is limited to the amount paid by you in the 12 months preceding the claim.

11. Modifications to this Agreement

We may update these Terms periodically. If changes are material, we will notify you. Continued use after 15 days of notification implies acceptance.

12. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Kepixel operates. Disputes shall be subject to the exclusive jurisdiction of the competent courts in that jurisdiction.

13. General Provisions

• Publicity: You agree to allow Kepixel to display your company logo as part of our client list and promotional content.
• Force Majeure: Neither party is liable for delays or failures due to events beyond reasonable control.
• Independent Contractors: The relationship is that of independent contractors.

Severability: If any provision is deemed invalid, the remainder of the Agreement remains in effect.

Use terms for Techdash app

1. Permitted Use

You may use Kepixel Services solely for your internal business operations and in accordance with applicable laws and these Terms. This includes:

• Installing and using the provided Embed Code on your Properties (e.g., websites, apps).
• Analyzing and activating customer data via the Dashboard.
• Creating accounts for authorized agents within your organization.

2. Prohibited Use

You may not:

• Copy, reverse engineer, or modify any part of the Services, including the Embed Code.
• Use the Services to transmit any unlawful, harmful, or malicious content.
• Share your login credentials with unauthorized individuals.
• Attempt to access systems or data not intended for your use.
• Resell, lease, or sublicense the Services without written permission.

3. Account and Data Responsibilities

You are responsible for:

• Maintaining the confidentiality of your account credentials.
• Ensuring all Customer Data submitted complies with applicable laws and does not infringe on third-party rights.
• Obtaining all necessary consents for data processing, as required by laws such as the GDPR.

4. Monitoring and Enforcement

Kepixel reserves the right to monitor usage for compliance. We may suspend or terminate access to the Services without notice if:

• Unauthorized or excessive use is detected.
• Fraud, security risk, or breach of these Use Terms occurs.

5. Modifications

Kepixel may update these Use Terms periodically. Your continued use of the Services after changes have been published constitutes your acceptance of the revised terms.

6. Violations

Violations of these Use Terms may result in immediate suspension, termination of your account, and legal action where applicable.

• Authenticate your access and maintain account security;
• Respond to inquiries and provide customer support;

• Market our products and share updates (you can opt out anytime).

We do not sell or rent your personal data.

3. Legal Basis for Processing (If Applicable)

User policy

1. Eligibility

As a user of Kepixel, you agree to:

3. Prohibited Activities

You may not:

• Use Kepixel Services for fraudulent, harmful, or illegal activities.
• Attempt to gain unauthorized access to any part of the system or another user’s account.
• Introduce malware, spyware, or any malicious code.
• Modify, copy, reverse engineer, or attempt to extract source code from any part of the Services.
• Harass, abuse, or violate the rights of others while using the platform.
• Use the Services in any way that violates this Policy or the Terms and Conditions.

4. Data Usage and Privacy

All data submitted to Kepixel must comply with our Privacy Policy. You are responsible for ensuring that data processing via Kepixel aligns with your local legal requirements, including user consent where required.

5. Account Suspension and Termination

Kepixel reserves the right to suspend or terminate your account, without notice, if:

• You breach this Policy, Terms and Conditions, or applicable laws.
• Your use presents a risk to security, system integrity, or violates another user's rights.

Data from suspended/terminated accounts will be deleted within 45–90 days, unless legally required to retain it.

• You are solely responsible for maintaining the confidentiality of your login credentials.
• Any actions performed through your account are your responsibility, whether authorized or not.

You agree to use Kepixel’s Services only for lawful business purposes. Specifically, you must not:

• Violate any applicable laws or regulations.
• Upload, transmit, or process any content that is illegal, harmful, or infringes on the rights of others.
• Use the platform to send spam, malware, or any form of malicious code.

4. Data Handling and Privacy

• You are responsible for the data you collect, process, or share via Kepixel.
• You must ensure you have the appropriate legal basis and consent for all personal data you upload or process through our Services.
• You are expected to comply with data protection laws such as the GDPR, CCPA, or other applicable regulations.

5. System Use and Integrity

• You may not misuse the Services by attempting to interfere with system integrity or security.
• You must not reverse engineer, decompile, or attempt to extract the source code of any part of the platform.
• You are not permitted to resell, sublicense, or share the Services with unauthorized third parties.

6. Cooperation and Support

• You agree to cooperate with Kepixel’s support team in resolving technical issues, including granting temporary access when necessary for support or debugging.
• You must respond promptly to inquiries related to account activity or compliance reviews.

7. Compliance

• You are responsible for ensuring that your use of the Services complies with this Policy, the Terms and Conditions, and any applicable local or international laws.
